LAW 5469 - International Business Transactions Credit(s): 3 This course will prepare students to represent business clients in a variety of international transactions that may involve customers, suppliers, business partners or investments outside the United States. It will discuss the general principles of international contracts, including contract negations, formation, and drafting. Specific terms and conditions will be examined, such as force majeure and hardship, terms of payment, warranty clauses, termination, choice of law, and choice of forum. International arbitration will be covered. The course will examine the law and practice of transnational sales of goods, foreign distributorships, methods for financing international sales and transactions, export regulation, the licensing of technology abroad, anti-bribery regulations, foreign direct investment, and anti-boycott legislation.
